2. Client Responsibilities

To enable us to deliver services effectively, clients agree to:

• Provide timely access to necessary accounts (Google Ads, Google Analytics, social media platforms, website CMS, etc.)
• Supply accurate business information, brand guidelines, and required content assets
• Review and approve deliverables within the agreed timeframe (typically 5 business days)
• Designate a primary point of contact for communication and approvals
• Pay all invoices by the due date stated on the invoice
• Notify us promptly of any changes to business goals, target audience, or marketing direction
• Ensure that any content, trademarks, or materials provided do not infringe third-party rights
• Comply with all applicable advertising platform policies (Google, Meta, LinkedIn, etc.)

3. Payment Terms

3.1 Fees and Invoicing

Service fees are outlined in the signed Service Agreement. Unless otherwise agreed:

• Monthly retainer fees are due on the 1st of each month, payable in advance
• One-time project fees: 50% deposit required before work commences; 50% due upon completion
• Training course fees are due in full prior to course commencement
• Ad spend is billed separately and is payable directly to the advertising platform by the client

3.2 Late Payments

Invoices unpaid after 15 days from the due date are subject to a late payment fee of 1.5% per month on the outstanding balance. Siirixmdigital reserves the right to suspend services after 30 days of non-payment without further notice.

3.3 Taxes

All fees are exclusive of applicable taxes. Clients are responsible for all applicable taxes, duties, and levies imposed by governmental authorities in their jurisdiction.

3.4 Refund Policy

• Monthly retainers: Non-refundable once work for the month has commenced.
• Setup/onboarding fees: Non-refundable.
• Training courses: Full refund if cancelled more than 7 days before course start date. 50% refund if cancelled 3–7 days before. No refund within 3 days of course start or after course has begun.
• Project deposits: Refundable within 48 hours of payment if no work has commenced.

4. Term and Termination

4.1 Service Agreement Term

Services are provided on a month-to-month basis unless a fixed-term contract is agreed upon. Either party may terminate the engagement with 30 days' written notice.

4.2 Termination for Cause

Either party may terminate immediately upon written notice if the other party:

• Materially breaches these Terms and fails to cure the breach within 10 business days of written notice
• Becomes insolvent, files for bankruptcy, or ceases business operations
• Engages in fraudulent, illegal, or unethical conduct

4.3 Effect of Termination

Upon termination, all outstanding fees become immediately due and payable. Siirixmdigital will provide a transition report and transfer access credentials within 10 business days of termination. We are not liable for any loss of rankings, traffic, or conversions following termination.

5. Intellectual Property

5.1 Client Ownership

Upon full payment of all outstanding fees, clients own all final deliverables created specifically for them, including ad creatives, copy, reports, and website content produced under the engagement.

5.2 Siirixmdigital Ownership

Siirixmdigital retains ownership of:

• All proprietary methodologies, frameworks, tools, and processes
• Pre-existing templates, code libraries, and design assets
• Training materials, course content, and educational resources
• Any work product created prior to full payment being received

5.3 License

Clients grant Siirixmdigital a non-exclusive, royalty-free license to use, modify, and display client-provided materials (logos, brand assets, website content) solely for the purpose of delivering agreed services.

5.4 Portfolio Use

Siirixmdigital may reference the client's name, logo, and general campaign results in our portfolio, case studies, and marketing materials, unless the client requests otherwise in writing.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the engagement ("Confidential Information"), including business strategies, financial data, customer lists, and trade secrets.

• Neither party shall disclose Confidential Information to third parties without prior written consent
• Confidential Information shall be used solely for the purposes of the service engagement
• These obligations survive termination of the agreement for a period of 3 years
• Exceptions apply for information that is publicly known, independently developed, or required to be disclosed by law

7. Disclaimers & No Guarantees

Siirixmdigital specifically disclaims guarantees related to:

• Specific search engine rankings or placement positions on Google or any other search engine
• Specific levels of website traffic, leads, conversions, or revenue
• Advertising performance metrics (CTR, CPC, ROAS, conversion rate)
• Social media follower growth or engagement rates
• Algorithm updates by Google, Meta, or any third-party platform that may affect performance
• Placement or employment outcomes following completion of training programs

Our services are provided on an "as is" and "as available" basis. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Siirixmdigital shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, business opportunities, or goodwill
• Damages arising from third-party platform algorithm changes or policy updates
• Interruption of business, even if advised of the possibility of such damages

In all cases, our total cumulative liability to any client for any claims arising out of or relating to our services shall not exceed the total fees paid by the client to Siirixmdigital in the three (3) months immediately preceding the claim.

9. Indemnification

Clients agree to indemnify, defend, and hold harmless Siirixmdigital and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in connection with:

• Client's breach of these Terms and Conditions
• Content or materials provided by the client that infringe third-party intellectual property rights
• Client's violation of any applicable laws, regulations, or advertising platform policies
• Any false, misleading, or defamatory content approved by the client for publication

10. Training Course Terms

10.1 Enrollment and Access

• Course enrollment is confirmed upon receipt of full payment
• Course access is for individual use only and is non-transferable
• Login credentials must not be shared with others
• Online course materials remain accessible for 12 months from enrollment date

10.2 Conduct

Students enrolled in our training programs must maintain professional conduct. Siirixmdigital reserves the right to remove any student from a course without refund for disruptive, abusive, or dishonest behavior.

10.3 Certificates

Certificates are issued upon successful completion of all course modules and assessments. Certificates reflect completion of our training program and do not constitute professional licensure.

10.4 Placement Assistance

While we provide placement assistance and maintain relationships with hiring partners, we do not guarantee employment. Placement outcomes depend on individual student performance, market conditions, and employer decisions.

11. Prohibited Use

You agree not to use Siirixmdigital's website or services to:

• Engage in any unlawful, fraudulent, or malicious activity
• Violate any applicable local, state, national, or international law or regulation
• Transmit unsolicited commercial communications (spam)
• Infringe upon intellectual property rights of Siirixmdigital or third parties
• Attempt to gain unauthorized access to our systems or other users' accounts
• Upload malicious code, viruses, or any software designed to disrupt our services
• Scrape, harvest, or collect data from our website without written permission
• Impersonate Siirixmdigital, our employees, or other users

12. Governing Law & Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict of law provisions.

12.2 Dispute Resolution

In the event of any dispute arising from or relating to these Terms or our services, both parties agree to:

• Step 1 — Negotiation: Attempt to resolve the dispute informally through good-faith negotiations within 30 days of written notice.
• Step 2 — Mediation: If negotiation fails, submit to non-binding mediation administered by a mutually agreed mediator.
• Step 3 — Arbitration: If mediation fails, submit to binding arbitration under the rules of the American Arbitration Association (AAA) in Erie, Pennsylvania. The arbitrator's decision shall be final and binding.

Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction for intellectual property violations or breaches of confidentiality.

13. Modifications to Terms

Siirixmdigital reserves the right to modify these Terms and Conditions at any time. We will provide at least 14 days' notice of material changes by:

• Posting the updated Terms on this page with a new "Last Updated" date
• Sending email notification to existing clients

Your continued use of our services following notice of changes constitutes your acceptance of the updated Terms.

14. Miscellaneous

• Entire Agreement: These Terms, together with any signed Service Agreement, constitute the entire agreement between the parties and supersede all prior understandings.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• Waiver: Failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce it in the future.
• Assignment: Clients may not assign or transfer their rights under these Terms without our prior written consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.
• Force Majeure: Neither party shall be liable for delays or failures caused by circumstances beyond reasonable control, including natural disasters, pandemics, government actions, or internet outages.
• Independent Contractors: The parties are independent contractors. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship.
